That is understandable, but it can lead to the wrong analysis. The real question is: “Which investment framework fits the actual project?”
BOI and PEZA registrations should be evaluated based on the company’s activity, location, customers, investment plan, operational model, and long-term strategy. The incentives come after that.
Why Businesses Look at BOI
The Board of Investments is one of the Philippines’ major Investment Promotion Agencies. Businesses exploring BOI registration generally need to determine whether their proposed project falls within the current investment-priority framework and satisfies applicable qualification requirements.
- What will be produced or provided?
- Where will the project operate?
- How much will be invested?
- Who are the customers?
- Will the project export?
- How many people will it employ?
- What equipment or facilities will be required?
- What economic activity will the project generate?
The application is about the project, not merely the corporate entity.
Why Businesses Look at PEZA
PEZA is closely associated with economic zones and registered business enterprises operating within its regulatory framework. For many companies, especially those considering operations inside an economic zone, PEZA can be an important option.
However, a business should not assume that locating inside a building or area connected with PEZA automatically makes the company a PEZA-registered enterprise. The company’s activity, location, project, registration category, and applicable agency requirements all matter.
Do Not Compare Incentives in Isolation
A tax incentive can look attractive on paper. But an investment decision should consider the whole compliance structure.

- What commitments will the company make?
- How long is the business expected to operate?

What About PEZA Incentives?
PEZA’s official guidance describes fiscal and non-fiscal incentives that may be available to qualifying registered business enterprises depending on the nature and location of the project. These may include an Income Tax Holiday and subsequent incentive regimes such as the 5% Special Corporate Income Tax or Enhanced Deductions for qualifying enterprises, together with other customs- and VAT-related incentives where statutory requirements are satisfied.
But this should not be read as: “Register a company and automatically receive these incentives.” The actual incentive entitlement depends on the registered project and the applicable rules.
Registration Comes With Responsibilities
Businesses often focus heavily on the benefits and spend less time discussing what happens after approval. Registered enterprises can have continuing obligations. For PEZA enterprises, agency issuances can cover matters such as reporting, incentive administration, FIRMS-related requirements, import and exporter accreditation processes, work-from-home arrangements, and electronic systems.
Incentive registration should therefore be treated as an ongoing regulatory relationship.
A Better BOI vs. PEZA Comparison
- Activity – Is the business activity qualified?
- Location – Where will the project operate?
- Market – Will it serve domestic customers, export customers, or both?
- Investment – What capital, equipment, employment, or other commitments will be made?
- Incentives – Which incentives may apply to the specific project?
- Compliance – What reports, conditions, and operational restrictions will follow?
- Strategy – Does the framework support the company’s plans over the next several years?
