How to Register as a Non-VAT or VAT Business with BIR

If you’re planning to operate a business in the Philippines—whether online or offline—BIR registration is a legal requirement, not an option. But one of the first critical decisions you’ll need to make during registration is whether to register as a VAT or Non-VAT taxpayer.

As a legal advisor for business compliance, I often get asked:
“Which tax type should I register under? What are the requirements? How do I stay compliant?”

Here’s a clear, legally sound guide to help you register correctly with the Bureau of Internal Revenue (BIR)—and avoid costly penalties down the line.

📌 What’s the Difference Between VAT and Non-VAT?

🔹 VAT (Value Added Tax)

  • 12% indirect tax passed on to consumers

  • Mandatory if your annual gross sales or receipts exceed ₱3,000,000

  • Applies to sales of goods, services, and lease of properties

🔹 Non-VAT (Percentage Tax)

  • 1% to 3% tax on gross sales (depending on law updates and applicable rules)

  • Optional for businesses earning below ₱3,000,000

  • Simpler compliance but with fewer tax credit opportunities

⚖️ Legal Insight: You can voluntarily register as a VAT taxpayer even if you’re below the ₱3M threshold, but switching back to Non-VAT is restricted and subject to BIR approval.

📝 Step-by-Step Guide to Register Your Business with the BIR

✅ Step 1: Secure Your Prior Registrations

Before proceeding to the BIR, make sure you already have the following:

  • DTI Certificate (for sole proprietors) or SEC Registration (for corporations/partnerships)

  • Mayor’s/Business Permit or Barangay Clearance

  • Valid ID and TIN (for the owner or authorized representative)

✅ Step 2: Prepare BIR Registration Requirements

Depending on your type of business (sole prop, OPC, corporation), you’ll typically need:

  • BIR Form 1901 (for sole proprietors) or 1903 (for corporations/partnerships)

  • Photocopy of government-issued ID

  • DTI/SEC certificate

  • Mayor’s Permit or proof of application

  • Lease contract or proof of business address

  • Books of accounts for stamping

  • ₱500 Annual Registration Fee (ARF)

  • Payment form (BIR Form 0605)

🧾 If VAT-registered: You will also need to file BIR Form 2550M and 2550Q monthly and quarterly.

🧾 If Non-VAT: You will file BIR Form 2551Q quarterly (Percentage Tax).

✅ Step 3: Submit to Your Assigned BIR RDO

Submit all the required documents to the Revenue District Office (RDO) that has jurisdiction over your business location. You may also be scheduled for a BIR interview or briefing on taxpayer responsibilities.

✅ Step 4: Pay Fees and Secure BIR Certificate of Registration (COR)

Once approved, you will receive your:

  • BIR Certificate of Registration (Form 2303)

  • Authority to Print (ATP) or Notice to Issue ORs

  • Books of Accounts stamped

  • “Ask for Receipt” notice (must be displayed at business premises)

📌 Note: The ATP allows you to have official receipts (for services) or sales invoices (for goods) printed by an accredited printer.

💡 Should You Choose VAT or Non-VAT?

Choose VAT if:

  • You earn or project to earn over ₱3M annually

  • Your clients are mostly VAT-registered (you can claim input VAT)

  • You are in manufacturing, importation, or export business

Choose Non-VAT if:

  • You are starting small and expect low annual sales

  • You want simpler tax filing

  • You’re a freelance professional, retailer, or micro-entrepreneur

👨‍⚖️ Legal Tip: Once you register as VAT voluntarily, you cannot revert to Non-VAT for at least 3 years, unless explicitly approved by the BIR.

🚨 Consequences of Operating Without BIR Registration

  • ₱20,000 fine + possible business closure

  • Criminal liability under the National Internal Revenue Code

  • Disqualification from government contracts, loans, and formal clients

  • Inability to issue legal receipts or invoices
