The SEC ZERO Era: How Paperless Registration is Revolutionizing Corporate Setup

Registering a corporation in the Philippines used to mean printed document stacks, physical notarization runs, and waiting in line at SEC extension offices. SEC Memorandum Circular No. 3 (Series of 2025) mandated the full rollout of SEC ZERO (Zuper Easy Registration Online).

The End of Physical Notarization and Paper Filings

SEC ZERO eliminates the requirement to submit hard-copy Articles of Incorporation and By-Laws. The platform relies on digital identity verification via eSECURE and integration with the Department of Information and Communications Technology’s (DICT) PNPKI digital signatures. Incorporators can upload signatures and authenticate documents remotely from anywhere in the world.

Auto-Issuance of Government Identifiers

Corporations no longer need to make separate trips to obtain foundational government accounts. Once the SEC approves an application via ZERO, the system automatically routes the corporate profile through the Philippine Business Hub (PBH). This triggers the immediate, automatic generation of the company’s:

  • Tax Identification Number (TIN) from the Bureau of Internal Revenue (BIR)

  • Social Security System (SSS) Employer Number

  • PhilHealth Employer Number

  • Pag-IBIG Employer Number

What It Means for Incorporators

Turnaround times for domestic stock corporations have dropped from weeks to days. Founders in growth hubs outside Metro Manila—such as Cebu and Davao—can complete corporate formation online without stepping into a regional SEC office.
